General terms and conditions of the website www.zipli.style
Article 1
Introductory provisions
1.1. Â Â These General Terms and Conditions (hereinafter referred to as "GTC") regulate, in accordance with the applicable law of the Slovak Republic, the commercial relations of Hyperia s.r.o.,
At the gate 8665/4, 010 01 Žilina, and its contractual partner, who is the client.
1.2. Â Â These GTC regulate the rights and obligations of the contracting parties, namely the operator of the website www.zipli.style (hereinafter referred to as the "site") identified in point 1.1. of this article, which is a service provider under a service provision agreement (hereinafter referred to as the "agreement") on the one hand (hereinafter referred to as the "provider") and the recipient of services on the other hand (hereinafter referred to as the "client").
1.3. Â Â These GTC are issued in accordance with the provisions of Section 273, paragraph 1 of Act No. 513/1991 Coll. of the Commercial Code, as amended, and become binding on the contracting parties at the moment of concluding a contract for the provision of services with Hyperia s.r.o..
1.4. Â Â The contract for the provision of services is concluded pursuant to Section 269, paragraph 2 of Act No. 513/1991 Coll. of the Commercial Code, as amended, by the contracting parties on the website www.zipli.style, by filling in the form marked as e-shop registration (proposal for concluding a contract) and sending it. The provider will then send the client access data to the user account pursuant to point 2.4 of Article 2 of these GTC. The contract is concluded by the first login to the user account. The client is responsible for the correctness of the filled-in data. By logging in for the first time, the client also agrees to these GTC, which makes these GTC part of the contract.
1.5. Â Â If the client is already involved in the system before the issuance of these GTC, he/she agrees to these GTC by first logging into the user account in accordance with point 2.4 of Article 2 of these GTC, and at this moment the contract is concluded.
1.6. Â Â The website www.zipli.style aggregates client offers for the sale of goods or the presentation of a brand in the housing segment and allows website users to search for offers of furniture, decorations, home accessories and related products. It also inspires and informs website users about housing trends.
1.7. Â Â A website user (hereinafter referred to as "user") is any visitor who views the website www.zipli.style.
Article 2
Service Agreement
2.1. Â Â A service contract is a contract concluded on the website www.zipli.style between the provider and the client. Under this contract, the provider provides the client with a service specified in point 2.6. of this article for a fee, and the client pays the provider a fee in accordance with points 2.7 to 2.8. of this article.
2.2. Â Â A client may be a natural person or a legal entity operating an e-shop or a manufacturer or exclusive seller of goods in the segment pursuant to point 1.5 of Article 1 of these GTC.
2.3. Â Â The client shall provide all his/her identification data, including business name, registered office, company ID, contact email or telephone number. The provider has the right to verify the data entered in the client's profile.
2.4. Â Â By filling out and submitting the form for concluding the contract, the client obtains a user account, which he logs into with login details or the provider generates them for an already registered client. In both cases, the client gains access to the user account (so-called admin interface) only after connecting and testing the import of data from the xml feed. Access is secured by a username and password and the client is obliged to protect these data. The provider is not liable for any breach of this obligation and any damages resulting from it.
2.5. Â Â The client is entitled to edit his profile, monitor his credit status, click-through status and statistics, invoice status and order additional services. The client is obliged to provide correct and truthful data in his profile and to update it on an ongoing basis. By filling out the form for concluding the contract, the client is obliged to correctly fill in the URL address of the XML feed, based on which the provider will ensure the export of client data within the scope of the client's offer to the website www.zipli.style.
2.6. Â Â The service is understood as the presentation of the client's goods or its part contained in the data export via an XML feed on the website www.zipli.style, which is carried out in the form of displaying the client's offers classified into individual segments according to the type of goods. By clicking on the selected part of the client's product presentation on the page www.zipli.style, the user will be redirected directly to the e-shop or. the client's website, which creates the opportunity for the client to conclude a purchase contract with the user. The content of the service under this contract is not the sale of the client's goods directly via the page www.zipli.style to the user.
2.7. Â Â For the provision of the service under point 2.6 of this article, the provider is entitled to demand remuneration from the client, in the event that he has purchased credit under point 2.8 of this article. The provider has the right to set a minimum price for redirecting the user to the client's website or product. The minimum price for the service may change dynamically and its current price is available after the client logs in to the admin interface of the provider's website. When arranging products or photos on the website, as well as promoting them through other pages of the provider or third parties, the provider takes into account the price for the service that the client has set in the admin interface of the website for a given product or product category. The higher the price for the service, the better the positions on the website and the more promotion for the given product the client can receive.
2.8. Â Â After logging into the admin interface of the website www.zipli.style, the client can purchase credit in the selected value. The credit can be paid using a payment card or by transfer from a bank account in the value selected by the client. Based on the payment, the provider will allocate credit in the ordered amount to the client and issue and send the client a tax document - invoice by e-mail.
2.9. Â Â The provider records the credit status of each client and is entitled to continuously deduct the price for services from its value according to the previous points of this article.
2.10. The provider is a registered value added tax payer and value added tax will be added to the credit price in the amount specified by law.
2.11. The Client will provide updated data on the offer of its goods in the required format using the so-called XML Feed (or in another agreed format), which will be available for online automated processing by the Provider and will also have access to its offer via the user interface. The Client is responsible for any inappropriate or prohibited content and is liable for any damage resulting therefrom to the Provider.
2.12. The contract is concluded for an indefinite period. Both parties have the right to unilaterally terminate the contract at any time, by unilateral notice, by disabling the display of offers on the site by the provider for a period of at least 30 consecutive days or by agreement. The client may request a refund of the amount for the remaining credit within 3 months of the termination of the contract.
Article 3
Copyright
3.1. Â The client declares that by publishing photos of goods on www.zipli.style there is no violation of copyright or other intellectual property rights of the authors or third parties.
3.2. Â The client declares that he has concluded an agreement with the author or the holder of the author's property rights for the granting of sublicenses and for the transfer of the right to exercise the author's property rights to a third party or third parties.
3.3. Â The client declares that he grants the provider consent to use reproductions of photographs to present his goods on the website www.zipli.style and to use them in various articles, blogs, inspirations, including on other websites operated by the provider, including their use in other third-party media serving advertising and marketing purposes.
Article 4
User account
4.1. Â Based on the user registration carried out on the website, the user can access his/her user interface of the website. From his/her user interface, the user can, in particular, manage his/her data, enter and delete information about himself/herself, manage it, enter and delete posts or other information and manage it, and also enter and manage photos and audiovisual recordings (hereinafter referred to as the "user account").
4.2. Â The user's user account is operated following the user's registration on the website (filling in the required data by the user).
4.3. Â When registering on the website, the user is obliged to provide all data correctly and truthfully. The user is obliged to update the personal data provided in the user account in the event of any change. The provider considers the data provided by the user in the user account to be correct. Each user may only have one user account.
4.4. Â Access to the user account is secured by a username and password. The user agrees that the login details may also be used to log in to other websites operated by the provider. The user is obliged to maintain confidentiality of the information necessary to access his user account and acknowledges that the provider is not liable for any breach of this obligation by the user.
4.5. Â The provider may prevent the user from using the user account, especially if the user violates his obligations under the service agreement.
Article 5
Privacy and cookie storage
5.1. Â The provider's information obligations related to the processing of the user's personal data are regulated by a separate document.
5.2. Â The user agrees to the storage of so-called cookies on his computer. Cookies are small files that serve the provider and advertisers on the website to recognize the user's web browser when communicating with the service and subsequently using some of the service's functions. If the provider is able to fulfill its obligations under the service provision agreement without storing so-called cookies on the user's computer, the user may withdraw consent according to the first sentence of this paragraph at any time.
Article 6
Final provisions
6.1. Â These GTC enter into force and effect on the date of publication. They become part of the contract on the date of conclusion of the contract.
6.2. Â Rights and obligations that are not regulated by these GTC are governed by generally binding legal regulations, in particular Act No. 513/1991 Coll. Commercial Code, as amended.
6.3. Â If these GTC are changed, the provider will publish them on the website www.zipli.style and invite the client to consent to them. By consenting to the new GTC, the rights and obligations of the contracting parties will be subject to the new GTC, from the date of consent.
